1. Acceptance of Terms & Operator Identity

These Terms of Service (“Terms”) govern your access to and use of the SignOff Pilot software-as-a-service application, accessible via https://www.signoffpilot.com (“Platform”, “Service”), operated under the commercial brand SignOff Pilot by an individual software creator and operator established in Romania. SignOff Pilot is a trading name, not a separate legal entity. Our operator identification and contact details required by applicable law are set out in Section 10.

By creating an account, accessing, or using the Service, you confirm that you are at least 18 years old, possess the legal authority to bind yourself or the business you represent, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Service Description & Scope

SignOff Pilot provides a client review, visual feedback collection, revision round management, and formal project sign-off portal designed for digital agencies, web studios, and freelance professionals.

Key features include:

• Visual feedback toolbar and pin placement on authorized staging/preview websites;
• Revision tracking, feedback status management, and comment resolution;
• Client approval workflows with explicit acceptance declarations;
• Generation of cryptographic SHA-256 audit-verified web certificates and downloadable vector PDF sign-off certificates.

Notice: SignOff Pilot is a technological platform that facilitates review and acceptance between agencies and their respective clients. SignOff Pilot is not a party to any underlying contract, service level agreement, or commercial arrangement between an agency and its client.

3. Account Registration & Security

To access agency workspace features, you must register by providing a valid email address and agency name. SignOff Pilot utilizes passwordless authentication (“Magic Links” and one-time verification codes) delivered via transactional email.

You are responsible for maintaining the security of the email account used to authenticate into your workspace. Any action taken through an active session initiated via your verified email address is deemed to have been authorized by you.

4. Subscription Plans & Commercial Terms

SignOff Pilot is billed on a monthly subscription basis in United States Dollars ($ USD). We offer the following tiers:

Subscription renewals occur automatically every month on the recurring calendar date of your initial upgrade. You may cancel your subscription at any time.

5. Billing, Taxes, and Merchant of Record

All paid orders, payment processing, tax assessments, and recurring subscription billings are executed by Paddle. The contract of sale for a paid subscription is concluded between you and Paddle as Merchant of Record under Paddle's Buyer Terms; these Terms govern your use of the Service. By entering your payment details during checkout, you authorize Paddle to charge the applicable recurring monthly fees to your designated payment method.

Applicable local taxes (including value-added tax, sales tax, or digital services tax) are computed and collected automatically by Paddle at checkout based on your billing address and country of residence.

6. Cancellation & Refunds

You can cancel your subscription at any time through the dashboard or by accessing the customer billing portal. Upon cancellation, recurring billing stops immediately, and your paid plan privileges remain fully accessible until the conclusion of your current billing period.

Refunds are governed by our Refund Policy. We provide a full 14-day money-back guarantee for first-time paid plan upgrades. This guarantee is a voluntary commercial guarantee offered by the operator; it is in addition to, and does not replace or limit, any mandatory statutory rights you may have or Paddle's own Refund Policy. Where a mandatory legal right gives you a more favourable result, that right prevails.

7. Acceptable Use Policy

You agree not to use SignOff Pilot to:

• Upload, embed, or transmit malicious code, exploits, spyware, or harmful payloads;
• Inject feedback widgets onto third-party domains without appropriate authorization from the domain owner;
• Transmit unlawful, abusive, harassing, defamatory, or fraudulent comments and content;
• Attempt to reverse-engineer, decompile, or disrupt platform infrastructure or bypass API rate limits;
• Impersonate any person or entity during the formal client sign-off approval declaration.

Violation of this policy may result in immediate workspace suspension or termination without notice.

8. Intellectual Property & Data Ownership

Your Content: You retain full ownership and intellectual property rights in all website designs, client comments, project assets, and branding materials submitted to the Platform. You grant SignOff Pilot a limited, revocable license solely to host, process, and display such content to deliver the Service.

SignOff Pilot Property: The Service, including our proprietary script widgets, certificate generation engine, user interface, software code, logos, and documentation, is the exclusive intellectual property of the operator of SignOff Pilot.

9. Limitation of Liability & Warranty Disclaimer

The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied.

Nothing in these Terms excludes or limits any liability or statutory right that cannot lawfully be excluded or limited, including mandatory consumer protection rights. If you are a consumer, the exclusions and limitations in this Section apply only to the maximum extent permitted by the law applicable to you.

To the maximum extent permitted by applicable law, in no event shall SignOff Pilot, its operator, or authorized representatives be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill arising out of your use of or inability to use the Service. Our aggregate liability under these Terms shall not exceed the total amount paid by you to SignOff Pilot in the twelve (12) months preceding the claim. This cap does not apply to liability that cannot be limited by law.

10. Governing Law & Contact Details

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to conflict of law provisions. If you are a consumer, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of the country in which you have your habitual residence.
